AI Isn’t Failing Boards. Governance Is.

Organizations are increasingly stumbling not because AI or data is wrong, but because boards have not adapted how they govern decisions once intelligence becomes embedded in them.


Most boards still treat technology as infrastructure and risk as a control function. That model no longer holds. AI, advanced analytics, and automation do not merely support execution; they shape judgment. When judgment shifts, governance must shift with it.


Consider Zillow.


Zillow’s home-buying business relied on algorithmic pricing to scale capital deployment. When market conditions changed, losses surfaced rapidly and at scale. The common explanations—model failure or poor timing—miss the deeper issue. Algorithmic confidence hardened into strategy faster than governance adapted.


The failure was not accuracy. It was reliance.


Boards are accustomed to challenging assumptions, forecasts, and scenarios. But when intelligence is automated, that challenge often weakens. Model outputs arrive with apparent precision. Dashboards signal confidence. Human judgment defers.


Across industries, the same governance failure patterns are emerging:

• AI outputs treated as objective rather than conditional

• Accountability for decision quality diffused across roles

• No explicit thresholds for model disbelief or override

• Capital, policy, or operational commitments scaling faster than oversight


These are not technology failures. They are governance failures.

When AI influences pricing, credit, hiring, eligibility, or capital allocation, boards must explicitly govern four things:

  1. Decision authority: Who owns AI-informed decisions—and who is accountable when outcomes deteriorate?
  2. Reliance boundaries: Where is AI advisory, where is it determinative, and where must human judgment intervene?
  3. Confidence decay: How are decisions governed as data drifts, markets shift, or context changes faster than models adapt?
  4. Oversight cadence: Are AI-influenced decisions reviewed with the same rigor as other high-impact board matters?


The lesson from Zillow—and from many quieter cases—is not to slow innovation or distrust intelligence. It is to recognize that once intelligence shapes decisions, governance must move upstream.

Boards that continue to govern systems while intelligence governs outcomes will be surprised—often too late.


The next governance failure will not announce itself as an AI failure. It will appear as a strategic misstep, a risk surprise, or an accountability gap. By the time it is visible, the real failure will already be behind it.


Governing the intelligent enterprise requires boards to govern how decisions are made, not merely what results are reported.


That shift has begun. Many boards have not yet caught up.
